Terms & Conditions

The following terms apply to all services and products sold and delivered through Quickit ApS and other websites managed by Quickit ApS. These terms apply to any task performed by Quickit ApS.

Your access to and use of our software constitute consent to be bound by these terms, establishing a contractual relationship between you and Quickit ApS. If you do not agree to the terms, you may not access our software. Quickit ApS can terminate these terms immediately. Quickit ApS can terminate the offer or deny access to the platform at any time for any reason.

Quickit ApS may change the terms from time to time. The changes take effect when Quickit ApS posts such updated terms in the appropriate place. Your continued access to or use of the software after such notice constitutes consent to be bound by the amended terms.

Delivered Products
Quickit ApS offers a 100% software-based self-service solution for the restaurant and hotel industry. The provided software products facilitate orders and payments for your transactions with customers. The solution is web and app-based, allowing end-users to place orders directly via their smartphones when on your premises.

Prices and Payment
The applicable price is the one indicated on the product on the day of the order. All prices are exclusive of VAT and are stated in DKK. Upon entering into the contract, you pay an establishment fee, if specified, and then you will be subject to Quickit's service fee for each order processed through the system to use and access the delivered software systems and apps. One-time payments, including costs for a photographer, iPad, holder, and QR codes, are paid directly to Quickit upon delivery or deducted from your daily payments, depending on the agreement. Quickit ApS is free to change the stated price without prior notice. If there is a typographical error, and the buyer should know or be aware that this is a typographical error, the buyer cannot obtain the price due to the error. Quickit ApS can cancel an order made due to a pricing error at any time. All orders incur shipping costs.

At Quickit ApS, you can make your payment via bank transfers. Quickit ApS deducts the amount when the order is shipped.

Confidentiality
At Quickit ApS, we believe that trust and confidentiality are crucial for a good collaboration. All information received from or about you is treated confidentially, and all employees are subject to confidentiality.

Default (Quickit's Termination Right)
In the event of material breach of obligations under these terms, Quickit has the right to interrupt the customer's access to Quickit's services. Material breach includes, among other things:
a. Service fee charges and consumption charges, etc., not paid promptly after Quickit's 1st reminder.
b. Providing incorrect information or failure to notify of an address change.
c. Attempting to gain unauthorized access to Quickit's services or general internet-connected systems (hacking).
d. Involvement in the spread of viruses.
e. Spreading unwanted emails or SMS, such as spam, chain letters, or the like.
f. Infringement of third-party copyrights by downloading, distributing, or similar.
g. Extraordinarily high traffic consumption affecting the performance for other customers. Quickit can, in this case, without notice, interrupt access to the services.
h. Use of Quickit's services in ways that violate Danish law.

Quickit is also entitled to terminate the agreement in whole or in part in the event of the customer's bankruptcy, payment suspension, commencement of negotiations for a composition or significantly deteriorated economic conditions. Access to our services cannot be reestablished until any overdue debt is paid.

Liability
Quickit ApS is not responsible for breakdowns or temporary interruptions on the platform, power or internet connection failures, vandalism to the system (both physical as well as computer viruses and hacking), misuse of personal data, debit or credit cards, or other factors and circumstances beyond Quickit ApS's control. There is no guarantee that you can use the downloaded files on any computer, and the use is always assumed to require software that can open/read the relevant files.

Customer's Responsibility
It is the customer's full responsibility to handle customer data, including ensuring that the customer has the necessary rights or permissions to use and distribute the data content. The customer acknowledges that Quickit has no obligation to monitor whether third-party rights are respected. Quickit assumes no responsibility for the accuracy, completeness, suitability, or legality of the customer's data.

Product Liability
For damages immediately covered by Act No. 481 of June 7, 1989, on product liability, the provisions of the law apply. For product liability not covered by the aforementioned law, the following limitations apply:

Quickit ApS is only liable for personal injury if it is proven that the damage is due to an error or negligence committed by Quickit ApS or others for whom Quickit ApS is responsible. Quickit ApS is liable for damage to real property and chattels under the same conditions as for personal injury. Quickit ApS and the customer are mutually obligated to submit to the court or arbitration tribunal that deals with claims against one of them based on damage alleged caused by the goods.

Delivery
When purchasing access to Quickit software and apps, you can access the service immediately after the purchase unless otherwise agreed between the parties. Delivery will take place online. The delivery of hardware, such as iPad, holder, and QR codes, will be done in person by Quickit ApS or via a carrier. Hardware will be delivered within 14 days after the order, unless otherwise stated. If the delivery is delayed, we will inform the customer by email.

The end-user will typically receive the delivery of their orders within 20-45 minutes after placing the order, depending on the busyness of the restaurant.

Right of Withdrawal
You have the right to withdraw at any time after the purchase of access to Quickit's software system. You are not bound by the contract for any specific period; however, the initial costs will not be refunded upon cancelation of the contract. Regarding consumer purchases, the right of withdrawal is waived as the product (food and drinks) is consumed immediately after delivery.

Defects or Deficiencies
If the delivered software product contains defects or deficiencies, Quickit ApS will compensate the customer through a reduction in the agreed service fee. The service fee will be reduced until the documented lost profit is repaid. The service fee can never be reduced to 0. The lost profit should be calculated based on what the restaurant has earned on average per day before the occurrence of the defect, through Quickit ApS. It is the customer's responsibility to document any loss in this regard. Quickit ApS is not responsible for indirect losses. Defects or deficiencies that end-users may experience with the products they receive from our customers are subject to correction and compensation from the individual restaurant or hotel providing the products. End-users should contact the direct provider of their purchase, and Quickit ApS will not be responsible for errors on behalf of these providers. Quickit's Property and Feedback
Quickit hereby reserves all rights not expressly granted in these terms. Quickit retains all intellectual property rights to the services and services provided, including but not limited to the concept and developed source code, etc. The customer does not acquire any rights in this regard as a result of the collaboration. These terms do not give the customer the right to use Quickit's trademarks, logos, system links, domain names, or other trademarks without Quickit's prior acceptance. Quickit greatly appreciates customer feedback. However, the customer should be aware that Quickit can use feedback, comments, or suggestions sent to us or written in Quickit's forums without any obligation to the customer.

Return of Hardware
If the delivered hardware, including QR codes and iPads, contains inaccuracies or errors in any way, it can be returned to Quickit ApS if it is proven that the inaccuracy is due to Quickit ApS. When returning, the material should be sent/delivered to Quickit's address, and the sender bears the costs associated with shipping or delivery. You are responsible for ensuring that the material is packed correctly. You bear the risk of the package until we receive it. Therefore, you must have the receipt for the return and possibly a track and trace number as documentation. You bear the risk of the material from the time of delivery. You are responsible for any depreciation of the item's value caused by handling beyond what is necessary to establish the nature, characteristics, and functionality of the product.

Liability for Damages
Quickit is liable for damages under Danish law's general rules for damages resulting from actions or omissions caused by Quickit or anyone for whom Quickit is responsible, with the limitations listed below:

Quickit is not liable for losses arising from interruptions, disturbances, breakdowns, or changes to Quickit's hosted services, subcontractors, or public networks deemed necessary for technical, maintenance, and/or operational reasons or imposed by authorities. Likewise, Quickit is not liable for losses resulting from errors in subcontractors' processing of SMS, delivery of emails, or issues with the connection between Quickit's server and the customer's local network/internet connection and is not liable under any circumstances for indirect damages and consequential damages, as well as the claims that may otherwise be raised against Quickit, are limited to one month's average payments to Quickit. The average is calculated based on the previous 6 months or the shorter period the agreement has been in effect. Quickit is not liable for indirect losses, including lost profit, production loss, loss due to the inability to use services as intended, loss due to the termination or breach of an agreement with a third party, and the like. Quickit is not liable for damage caused by errors in content, defects, delivery delays, or the like, unless it is due to gross negligence or intent. However, Quickit is not liable for damage caused by circumstances beyond Quickit's control. Quickit's total liability under the agreement is in any case limited to the amount paid by the customer to Quickit for the services during the last 6 months. The customer is responsible for securing all data that the customer may need. The customer is also responsible for securing the customer's access codes.

Personal Data
Quickit ApS processes personal data in accordance with our privacy policy, which you can find at www.quickitorder.com. Our privacy policy is an integral part of these terms.

Applicable Law and Venue
These terms are subject to Danish law. Any dispute arising out of or in connection with these terms, including disputes regarding the existence, validity, or termination thereof, must be settled by arbitration in accordance with the rules of the Danish Institute of Arbitration. The venue for any arbitration is Copenhagen, Denmark, and the language of arbitration is Danish.

Final Provisions
If any provision of these terms is held to be invalid, void, unenforceable, or illegal, the remaining provisions will continue in full force and effect. The invalid, void, unenforceable, or illegal provision will be replaced by a valid, enforceable, and legal provision that most closely reflects the intent of the original provision. These terms constitute the entire agreement between you and Quickit ApS regarding the subject matter hereof. Any additional or conflicting terms or conditions submitted by you are expressly rejected by Quickit ApS and will have no force or effect.
